This includes both newly forming organizations that want to build their governance intentionally and established organizations experiencing governance drift over time.
Can you help with bylaws and policies?
Yes.
I help organizations develop, revise, and align bylaws and policies so they guide decisions and behavior in practice.
The goal is not simply to draft documents, but to ensure those documents function together as part of a governance system the board and leadership can rely on.
My role focuses on governance structure and how these documents work in practice. I do not replace legal counsel, and organizations should have bylaws and policies reviewed by an attorney to ensure they meet legal requirements.
Do you provide legal advice?

My work focuses on governance structure, roles, and decision-making effectiveness. When appropriate, I work alongside legal counsel so governance structures are thoughtfully designed and legally reviewed.
How is this different from executive coaching or board training?
Executive coaching focuses on individual leadership performance or professional development.
Board training focuses on educating directors about their roles, responsibilities, and fiduciary duties. I provide both foundational board training and organization-specific education when appropriate.
What distinguishes my work is the perspective.
Even when I am providing training, the focus is not abstract best practices. It is how your board’s roles, committees, bylaws, and decision pathways function together in practice.
Some boards need a clear foundation. Others need education tied directly to their governance documents and current decision challenges. I do both.
Can you help with committees, volunteers, or elections?
Yes.
Committees, volunteer roles, and elections are where governance becomes operational.
I help organizations clarify committee purpose and authority, design volunteer roles that contribute meaningfully, and review or update election and representation models so they support effective decision-making rather than create friction.
What if our board thinks the problem is “people,” not structure?
That is common.
When the same issues continue to surface across different board terms or leadership transitions, it often signals a structural issue. Governance systems shape behavior. When roles and authority are unclear, even capable people struggle.
Addressing structure often resolves problems that appear personal on the surface.
Do you work with executive directors directly?
Yes.
I often work closely with executive directors who recognize governance challenges but need an external partner to help the board address them constructively.
Engagements may involve the board, leadership, or both, depending on the situation.
What does an engagement typically look like?
Engagements are tailored to the organization’s needs and may include assessment, facilitation, education, and structural refinement.
The starting point is understanding how authority is distributed, how decisions are made, and where the current structure is creating friction. From there, we determine the appropriate scope of work.
